Internal restructuring and merger filing in Vietnam

The Competition Law 2018 does not exempt internal restructuring within the same group of companies from merger filing requirements. That said, arguably, internal restructuring between companies which are under the control of the same ultimate parent company is not subject to merger filing in Vietnam.
Luật Cạnh Tranh 2018 không miễn trừ yêu cầu thông báo tập trung kinh tế thực hiện tái cấu trúc nội trong một nhóm các công ty. Tuy vậy, có thể nhận định rằng, tái cấu trúc nội bộ giữa các công ty dưới quyền kiểm soát của một công ty mẹ không thuộc trường hợp phải thực hiện thông báo tập trung kinh tế tại Việt Nam.
