This update discusses Vietnam's merger control rules under the Competition Law 2018 and Decree 35/2020 and the concept and application of the rules for mergers and acquisitions. Mergers and acquisitions account for a growing proportion of FDI in Vietnam (Foreign Direct Investment).
Khái niệm kiểm soát rất quan trọng trong các quy định mới về kiểm soát tập trung kinh tế mới theo Luật Cạnh Tranh 2018 và Nghị Định 35/2020. Cụ thể, tập trung kinh tế dưới hình thức mua lại doanh nghiệp sẽ phát sinh nếu công ty mua lại giành quyền kiểm soát công ty bị mua lại. Ngoài ra, khái niệm kiểm soát cũng được sử dụng để xác định xem một công ty có phải là công ty liên kết của một công ty khác hay không khi áp dụng Ngưỡng Giá Trị Chủ Thể theo quy định về thông báo tập trung kinh tế.
