New merger filing thresholds in Vietnam - Decree 35/2020

The Vietnamese Government has issued an important decree implementing the Competition Law 2018. Among other things, the Government has introduced a (mostly) complete new set of merger filing thresholds. This update discusses the new thresholds and their potential impact on mergers and acquisitions and thus investment in Vietnam.

Trong nhiều nội dung mới, Chính Phủ đã đưa ra một bộ ngưỡng thông báo tập trung kinh tế (gần như) mới hoàn toàn. Đáng tiếc là, giống như các biện pháp giãn cách xã hội được áp dụng trong thời gian Covid-19, ngưỡng thông báo tập trung kinh tế có khả năng nới rộng khoảng cách pháp lý giữa các bên tham gia các thỏa thuận M&A tại Việt Nam, đặc biệt là các giao dịch do các tập đoàn lớn thực hiện.
